Management and Operating Plan Ground Transportation Management Services Fort Lauderdale-Hollywood International Airport 5 4/9/12 AGREEMENT WITH BROWARD COUNTY SP Plus Curbside Management Joint Venture will provide ground transportation management services at Fort Lauderdale-Hollywood International Airport pursuant to the terms and conditions set forth in the Agreement between Broward County, Florida and SP Plus Curbside Management Joint Venture for Ground Transportation Management services dated December 13, 2011 (the âMaster Agreementâ). To the extent of any inconsistencies or conflicts between the terms and conditions set forth in the Master Agreement and those set forth below in this Management and Operating Plan, or those set forth in the Agreements entered into between the Joint Venture and commercial vehicle operators and/or dispatch companies, the terms and conditions set forth in the Master Agreement shall govern and control. FLL TAXICAB PROGRAM Only taxicabs properly registered under the FLL Taxicab Program are permitted to pick-up passengers at Fort Lauderdale-Hollywood International Airport (FLL). Eligibility Any Taxicab Operator who: ïµ Holds a valid Broward County Permit(s) (Certificate(s) of Public Convenience and Necessity) under Broward County Ordinance 22 ½ (see Appendix A) and ïµ Is affiliated with or serves as a taxicab âDispatch Companyâ is eligible to participate in the FLL Taxicab Program. Registration/Enrollment Requirements To participate in the FLL Taxicab Program, effective May 1 of each year, an eligible Taxicab Operator must: ïµ Fully complete and sign a FLL Taxicab Program Application (see Appendix B) ïµ Sign a FLL Taxicab Program Contract (see Appendix C) that: ïµ Also is to be signed by the Dispatch Company ïµ Identifies all vehicles/Permits held by the Taxicab Operator to be registered under the FLL Taxicab Program ïµ Identifies all properly (Hack) licensed drivers who are authorized to operate the subject taxicab(s) ïµ Contains FLL Taxicab Program Policies and Procedures, Rules and Regulations, Code of Conduct, etc. ïµ Commits the Taxicab Operator and Dispatch Company to pay all FLL Taxicab Program fees and remit all required deposits
Management and Operating Plan Ground Transportation Management Services Fort Lauderdale-Hollywood International Airport 6 4/9/12 ïµ Provide the following documents: ïµ Taxicab Operatorâs valid Broward County Permit(s) ïµ Valid Chauffeurâs (Hack) Licenses for all authorized (Contract listed) Taxicab Drivers ïµ Certificate of Insurance naming Broward County and SP Plus Curbside Management Joint Venture as additional named insureds ïµ All authorized Taxicab Drivers of the Taxicab Operatorâs registered vehicle(s) must complete an FLL Taxicab Program Drivers Application (see Appendix D) and participate in the FLL Taxicab Program Taxicab Drivers Orientation and Training (see below and Appendix E for Orientation and Training Guide) ïµ Upon completion of Training, each authorized Taxicab Driver must sign an Acknowledgement and Agreement following which a Certificate of Training will be issued (see Appendix F) ïµ Pass a FLL Taxicab Program Vehicle Inspection(s) (see below and Appendix G) ïµ Inspection sites to be determined and communicated ïµ Pay an Annual Decal Fee of $50 per vehicle (amount subject to adjustment by Broward County) ïµ Remit a Security Deposit of $364 in cash per vehicle (initial registration only) (amount subject to adjustment by Broward County) Accommodations will be made for out-of-town or otherwise unavailable Taxicab Operator(s) to act through legally authorized representatives (e.g. by Power-of-Attorney) in connection with the registration/enrollment process. Taxicab Operators may withdraw from the FLL Taxicab Program at any time, provided that no fees or other amounts are owed by the Taxicab Operator at the time of withdrawal. Following withdrawal, applicable Security Deposit(s) will be refunded by Broward County. Taxicab Operators may re-register at any time provided that all Registration/Enrollment Requirements are satisfied including but not limited to (for each taxicab) a new Annual Decal Fee is paid and a new Security Deposit is remitted. Re-registration may not occur more than once per year (May 1 â April 30). ParticipationâDecal/Sticker(s)/Proximity Card Once the eligible Taxicab Operator satisfies all the above Registration/Enrollment Requirements, the Taxicab Operator and his/her authorized vehicle(s) may participate in the FLL Taxicab Program (see Appendix H for FLL Taxicab Program Registration Checklist). SP Plus Curbside Joint Venture then will issue to the Taxicab Operator: ïµ A Broward County Aviation Department (BCAD) authorized, numbered FLL Taxicab Program Decal to be placed in the lower right corner (passenger side) of each vehicleâs front windshield ïµ Program Stickers as required to be placed on the front side of the Hack License of each authorized Taxicab Driver (as listed in the Taxicab Operatorâs Contract and who has completed Orientation and Training) of the Taxicab Operatorâs vehicle(s) ïµ Proximity Card(s) (one for each registered vehicle) for access to the Commercial Vehicle Holding Lot (Holding Lot) and for billing purposes (discussed below).

Proximity Cards will be reauthorized, but not reissued, annually as of May 1. All Decals, Stickers and Proximity Cards will be distributed at the Joint Venture Administration and Operations Center. Unissued Decals and Stickers will be held in safekeeping and distributed at the Administration and Operations Center. The Joint Venture will maintain registers of all issued Decals, Stickers and Proximity Cards. Authorized Taxicab Drivers Orientation and Training Authorized Taxicab Drivers Orientation/Training will be conducted annually during the month of April (periodic training classes also can be scheduled through the Joint Venture Project Administrator). Subjects include (but are not limited to): ïµ Airport overview ïµ Internal, feeder and ancillary roadways ïµ Arrivals and Departures levels ïµ Ground Transportation Areas (GTAs); Taxicab Loading Zones (Loading Zones) ïµ Traffic patterns ïµ Terminals and airlines ïµ Commercial vehicles (loading and drop-off zones, etc.) ï¨ Shared-ride vans and limousines ï¨ Pre-arranged vehicles ï¨ Cruise and other charter buses ï¨ FLL buses (Rental Car Shuttles, Employee Shuttles, Circulators, etc.) ï¨ Transit buses ï¨ Courtesy shuttles ï¨ Others ïµ Routing from Holding Lot to Terminals ïµ Holding Lot Dispatch Policies, Procedures, Rules and Regulations ïµ Terminal Dispatch Policies, Procedures, Rules and Regulations ïµ GTAs ïµ Loading Zones ïµ Departure Level ïµ Special needs passengers
Management and Operating Plan Ground Transportation Management Services Fort Lauderdale-Hollywood International Airport 8 4/9/12 ïµ Rules and Regulations ïµ Broward County ïµ FLL ïµ SP Plus Curbside Management Joint Venture ïµ Customer Service ïµ SP Plus âThree Keysâ and training/safety modules ïµ âSunsational Customer Serviceâ ïµ Violations and consequences Taxicab Inspection Inasmuch as Taxicabs are required to pass a comprehensive mechanical and safety inspection by Broward County, Taxicab inspection under the FLL Taxicab Program will be limited to visual inspection only. ïµ Taxicab inspections will be conducted annually during the month of April. Inspections also can be scheduled through the Joint Venture Project Administrator. ïµ Findings of all inspections will be documented on the Vehicle Inspection Report. Vehicles failing the inspection will be prohibited from operating under the FLL Taxicab Program. Following corrective action(s), a taxicab may be re-inspected. Elements of the visual inspection include determination that: ïµ No excessive engine smoke is detected ïµ Doors operate easily and close securely ïµ Windshield wipers work properly ïµ Turn signals work properly ïµ Horn works properly ïµ Air-conditioning works properly ïµ No visible tire damage or excessive wear ïµ Vehicle is clean and presentable ïµ Body is free of significant dents and damage (including bumpers, front spoiler/shroud) ïµ Vehicle has adequate trunk/storage space which is free of clutter ïµ Seat covers, headliner, floor coverings are free of significant rips, tears, holes and cigarette burns ïµ Taxicab number is same as on Permit ïµ Taxicab color scheme is consistent with Dispatch Companyâs ïµ Windshield and glass are free of major cracks and chips
Management and Operating Plan Ground Transportation Management Services Fort Lauderdale-Hollywood International Airport 9 4/9/12 ïµ Headlamps, brake lights and tail lights are in working order ïµ Seatbelts (one for each passenger seat) are in proper working order ïµ Taximeter is operational, illuminated, functions in coordination with telltale lights Joint Venture Dispatchers also will conduct visual inspections of taxicabs accessing the Holding Lot and Loading Zones to ensure compliance with the Airportâs and the above standards. Taxicab Trip Fee ïµ A per-trip dispatch fee (âTrip Feeâ), currently $3.50, will be paid by the Dispatch Company/Taxicab Operator. The Trip Fee will be charged only for FLL pickups; there is no charge for taxicab drop-offs at FLL (all drop-offs should be made on the Departure [upper] Level). ïµ A Trip Fee will be charged upon a taxicabâs entry into the Holding Lot. In order to access the Holding Lot, the Taxicab Operator will pass the Proximity Card near the electronic card reader, which will record the entry as a chargeable trip. In the event the card reader is not functioning, the Holding Lot Dispatcher will record the trip manually in the Holding Lot Shift Log. In those rare instances in which taxicabs are authorized to proceed directly to the Terminals and are directed not to first access the Holding Lot, Terminals Taxicab Dispatchers will record the trip manually in the Taxicab Dispatch Shift Log. ïµ It is Broward Countyâs intention to implement an Automated Vehicle Identification (AVI) System at the earliest possible time, which event will necessitate revised procedures for recording trips. ïµ The Dispatch Company and the Taxicab Operator are jointly and severally responsible for all Trip Fees and for maintaining the Security Deposits. ïµ Based upon monthly reports generated through the card reader, the Joint Venture will generate and send monthly invoices to each Dispatch Company (only). Invoices will detail the number of trips made by each taxicab under each Dispatch Companyâs umbrella (as listed in the Contract) during the preceding month and set forth the aggregate Trip Fees payable. Invoices are to be sent by the 5th day of each month. Broward County will concomitantly be furnished a summary of all invoices. ïµ Payments are due no later than the 25th day of the same month the invoice is forwarded. Payments are to be gross, without deduction or offset of any kind, by check payable to SP Plus Curbside Management Joint Venture (in behalf of Broward County) and forwarded to the address specified on the invoice. Credit card payments also will be accepted (details provided upon request). ïµ If any Dispatch Company fails to remit full payment by said date, SP Plus Curbside Management Joint Venture will so notify the Taxicab Operator by email and regular mail. ïµ If full payment of any invoice is not received by the last day of the month in which the invoice is dated and sent: ï¨ The Taxicab Operatorsâ/Dispatch Companyâs Security Deposit(s) will be applied against the deficit
Management and Operating Plan Ground Transportation Management Services Fort Lauderdale-Hollywood International Airport 10 4/9/12 ï¨ The Taxicab Operatorsâ/Dispatch Companyâs privileges under the FLL Taxicab Program will be suspended immediately and his/her/their Proximity Card(s) will be deactivated ï¨ The Dispatch Company will be so notified (of the Proximity Card deactivation) by email and by certified or registered letter, thereby affording additional notice and demand for payment. ï¨ Interest at the rate of 18% per annum will be charged on all unpaid amounts ï¨ If full payment remains unpaid by the 15th day of the month following the date due, SP Plus Curbside Management Joint Venture will so advise Broward County. SP Plus Curbside Management Joint Venture and Broward County reserve all rights to take all actions necessary by any means deemed appropriate to collect delinquent accounts ï¨ Program privileges will be reinstated and the Proximity Card(s) reactivated when: ï¨ The outstanding balance (including accrued interest) has been paid in full; and ï¨ The Security Deposit(s) has/have been fully replenished ï¨ Provided however, if a Taxicab Operatorâs/Dispatch Companyâs Program privileges have been suspended three times in any one year period, then such Taxicab Operatorâs/Dispatch Companyâs Program privileges will not be eligible for reinstatement for a period of one year from the date of reinstatement eligibility (all fees paid). ïµ The Joint Venture will remit to Broward County all amounts received by it in behalf of Broward County by the 10th day of the immediately following month. SP Plus Curbside Management Joint Venture is acting as the agent for Broward County in connection with the billing and collection of trip fees and is not the guarantor of payment thereof. Security Deposit(s) ïµ A Security Deposit, currently $364 per vehicle, must be remitted to SP Plus Curbside Management Joint Venture. The Joint Venture will remit all Security Deposits to Broward County. ïµ Recognizing and appreciating that on May 1, 2012, Taxicab Operators may have on deposit with B&L Service, Inc., the preceding manager of the taxi starter system at the Airport, a security deposit of $364 per vehicle (being the same amount as the Security Deposit currently required under the FLL Taxicab Program), the Joint Venture, with Broward County approval, will afford a start-up accommodation and will require that the Security Deposit be remitted no later than June 30, 2012. B&L has committed to coordinate with Taxicab Operators to arrange for transfer of Security Deposits directly to SP Plus Curbside Management Joint Venture in behalf of Broward County.
Management and Operating Plan Ground Transportation Management Services Fort Lauderdale-Hollywood International Airport 11 4/9/12 Replacement Taxicabs In order to substitute a taxicab, the Taxicab Operator: ïµ Must present Broward County-issued documentation showing that the replacement taxicab is properly permitted ïµ Must provide a Certificate of Insurance covering the replacement taxicab ïµ Must pass an FLL Taxicab inspection ïµ Return the Decal (or remnants thereof) from the replaced taxicab Thereafter, a replacement Decal will be issued.
Management and Operating Plan Ground Transportation Management Services Fort Lauderdale-Hollywood International Airport 12 4/9/12 Holding Lot Policies and Procedures Site Plan ïµ See Appendix I for Holding Lot Site Plan ïµ Circulation and queuing patterns in the Holding Lot will be modified periodically to accommodate entry/exit site modifications as well as operational redesign Dispatch Staffing The Holding Lot will be staffed 24 hours per day by Holding Lot Dispatchers employed by NAPM Enterprises, Inc. Holding Lot Dispatchers are responsible for the safe and orderly queuing and dispatching of taxicabs in and from the Holding Lot to GTAs and Loading Zones as well as monitoring the Holding Lot activities of other permitted commercial vehicles and vendors (e.g., mobile food trucks). Authorized Vehicles Only Only FLL Taxicab Program Decaled Taxicabs, BCAD authorized commercial vehicles and permitted vendors (e.g., Food Vendors) are authorized to access the Holding Lot. Terminals Access through Holding Lot Unless otherwise specifically directed by Joint Venture personnel (e.g., in instances when Taxicabs are authorized and directed to proceed directly to the Terminals without first accessing the Holding Lot), all taxicabs must be dispatched from the Holding Lot. âFirst-In/First Outâ Taxicabs will be dispatched on a âFirst-In/First-Outâ basis only. No favoritism of any sort will be tolerated. Roadways ïµ Taxicabs are to use designated routes/roadways to access the Holding Lot ïµ No parking or dwelling on public roadways or Holding Lot driveway/approach ïµ No use of horns ïµ Maintain safe speed and spacing at all times Entry Taxicabs are to enter the Holding Lot only through the entry gate, using the Proximity Card Reader to raise the gate.
Management and Operating Plan Ground Transportation Management Services Fort Lauderdale-Hollywood International Airport 13 4/9/12 In the event the card reader is not functioning, the Holding Lot Dispatcher will record the taxicabâs entry (taxicab number, time and date) in the Holding Lot Shift Log, and raise the gate or otherwise signal that the taxicab may enter. Queue Taxicabs will be instructed to pull into the next queue position (in line/in âlastâ column) ïµ Engines to be turned off ïµ Doors and trunk to be closed ïµ Blaring radios not permitted ïµ Taxicab Drivers to remain alert and in reasonable proximity to their taxicabs Dispatch ïµ Holding Lot Dispatchers will be advised by radio by Taxicab Dispatchers and/or Supervisor of the need for taxicabs at the Terminals ïµ Dispatchers then will call the number of taxicabs required to be dispatched (by column, or by number within column) over loudspeaker ïµ Taxicabs summoned will proceed (pull forward) slowly, safely and in order to the Holding Lot exit ïµ At the exit, the Holding Lot Dispatcher will issue a machine-dispensed time-stamped ticket on which the Dispatcher will write the taxicab number and GTA/Terminal to which the taxicab is to proceed. In the event the ticket machine malfunctions, the Holding Lot Dispatcher will dispense the tickets manually and write the time and date of dispatch on the ticket (in addition to the taxicab number and GTA/Terminal number) Routing Plan ïµ See Appendix J for Routing Plan ïµ Routing plans will be modified periodically to accommodate construction and other extraordinary events Proximity Card Reader/Ticket âSpitterâ â Malfunctions in Ticket Supply ïµ In the event the Proximity Card Reader or the ticket-dispensing machine fails to function or function properly, the Holding Lot Dispatcher will immediately report the same to the Supervisor by radio. The Supervisor then will advise BCAD which is responsible for repairs. Until repaired, the Holding Lot Dispatcher will control access and record taxicab entries manually. ïµ The above events will be reported in the Holding Lot Shift Log. ïµ The AM Supervisor is responsible for ensuring that an adequate supply of dispatch tickets is available at the Holding Lot Booth. Ticket supply will be kept in safekeeping at the Joint Ventureâs Administration and Operations Center.
Management and Operating Plan Ground Transportation Management Services Fort Lauderdale-Hollywood International Airport 14 4/9/12 Disabled Taxicabs Holding Lot Dispatchers will report any disabled taxicab by radio to the Supervisor. The Supervisor shall immediately notify the Dispatch Company and request that the taxicab be towed or otherwise removed from the Holding Lot as soon as possible. Dispatchers and Supervisors are not to jump-start, push, enter or otherwise handle or touch a taxicab. In the event a disabled taxicab is not removed from the Holding Lot within 90 minutes, the Holding Lot Dispatcher will so notify the Supervisor who will arrange for the taxicab to be towed at the Taxicab Operatorâs expense. Disabled vehicles are to be reported on the Holding Lot Shift Log. Taxicabs Exiting Holding Lot Without Trip In the event a Taxicab Driver wishes to exit the Holding Lot without pulling a trip ticket (electing not to pick-up at the Airport), he/she will so advise the Holding Lot Dispatcher who will record the (non-revenue) exit in the Holding Lot Shift Log and Taxicab Operator/Dispatch Company will not be charged a Trip Fee. In order to promote flow within the Holding Lot (and to limit/eliminate use of the Holding Lot as a pure ârecreation/break/socializingâ area), the Joint Venture will monitor non-revenue exits on a monthly basis. No more than 3 monthly non-revenue exits will be permitted, provided however, that any non-revenue exits after 12:00 AM will not be subject to this (3 non-revenue exits) limitation. Monitoring Commercial Vehicles and Vendors Holding Lot Dispatchers will monitor commercial vehiclesâ and vendorsâ compliance with applicable Holding Lot policies, procedures, rules and regulations and report any violations in the Holding Lot Shift Log. Vehicle Observations Dispatchers periodically will visually spot check taxicabs for compliance with FLL Taxicab Program inspection requirements. Food Vendors At present, Food Vendors access the Holding Lot without charge. In addition, drug testing of employees is required at certain times and under certain circumstances. Compliance with the Drug-Free Workplace Policy is a continuing condition of employment. Refusal of any applicant or employee to submit to requisite drug testing (as provided in the Policy) will be grounds for refusal to hire an applicant or separation of employment of an existing employee. Management and Operating Plan Ground Transportation Management Services Fort Lauderdale-Hollywood International Airport 34 4/9/12 Other duties include providing: ïµ Recruiting ïµ Screening ïµ Hiring ïµ Training ïµ Compensation / benefits / payroll processing ïµ Corrective progressive action to employees ïµ HR functions in support of operational requirements Inasmuch as the Ground Transportation Management Program is fully integrated, e.g. Holding Lot Dispatchers and Taxicab (Terminal) Dispatchers function as one âsystemâ, operational supervisors handle the entire system; there are no separate supervisors per function. However, all progressive correction action/disciplinary matters will be reported to and handled by NAPM management (HR Coordinator, President [Judith Silvera] or her designee) (i.e. any actions/omissions involving NAPM employees will be reported directly by the Supervisor to NAPM management, being the HR Coordinator, if available, or, if not, to Judith Silvera, President). Firewall Management of the Joint Venture and all operations management will be vested in and exercised by SP Plus Transportation, a division of Standard Parking Corporation ([NASDAQ] STAN) The Joint Venture partners are keenly aware of the mandate for a âfirewallâ between commercial transportation providers (including B&L) and the ground transportation Manager, and will take extraordinary care to respect such mandate. To underscore this protection, among other safeguards, our named Project Manager, Assistant Project Manager and Supervisors will be Standard Parking employees. Further, Standard Parking will maintain all books and records of and for the Joint Venture.
